Governing Law; Jurisdiction.  This Agreement shall be governed by the laws of the state of New York, without regard to its conflict of laws principles, and the parties irrevocably consent to jurisdiction and venue in the state and federal courts located in the city and state of New York. 

Miscellaneous.  Waiver by either party of a breach of any provision of the Terms of Use shall not operate or be construed as a waiver of any subsequent breach or as a waiver of any other right.   If any part of the Terms of Use is held to be unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
